If you have ever hovered over the "sign" button on a contract and wondered whether an electronic signature would actually hold up, you are not alone. It is the single most common question people ask before switching away from paper. The short answer is yes — in the United States, electronic signatures are legally binding and enforceable in nearly every business and personal transaction.
But "legally binding" comes with conditions. Below is what the law actually says, and the four things that make an e-signature stand up if it is ever challenged.
The two laws that make e-signatures binding
Two laws give electronic signatures the same legal effect as handwritten ones:
- The ESIGN Act (2000) — a federal law stating that a signature, contract, or record "may not be denied legal effect, validity, or enforceability solely because it is in electronic form."
- UETA (the Uniform Electronic Transactions Act) — adopted by 49 states, it provides the same protection at the state level.
Together they cover the overwhelming majority of agreements: sales contracts, NDAs, offer letters, leases, consent forms, statements of work, and more.
What actually makes an e-signature enforceable
The laws don't require any specific technology — they require evidence of a few things. A signature is far more defensible when the platform captures all four:
- Intent to sign. The signer took a deliberate action to sign (clicking, drawing, or typing a signature), not a passive one.
- Consent to do business electronically. The signer agreed to use electronic records — ideally shown a short disclosure they actively accept before signing.
- Attribution. There is evidence linking the signature to the person: a unique signing link sent to their email, plus a record of their IP address and timestamps.
- Record integrity and retention. The finished document is tamper-evident and retained, so you can prove it hasn't changed since it was signed.
If a signature is ever disputed, the question a court asks is essentially: can you show who signed, that they meant to, that they consented, and that the document hasn't been altered? A good e-signature platform answers all of those automatically.
