These Terms of Service ("Terms") govern your access to and use of the ToroDocs electronic-signature platform, websites, and related services (collectively, the "Service"), operated by SocialPoints Media LLC, a limited liability company doing business as ToroDocs ("ToroDocs," "we," "us," or "our"), located at 2524 N Broadway, Edmond, OK 73034. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a legally binding contract to use the Service. You are responsible for the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly at support@torodocs.com of any unauthorized use. You are responsible for the accuracy of the recipient names and email addresses you enter when sending documents for signature.
ToroDocs lets you upload documents, place fields, send documents to recipients for electronic signature, track their status, and receive completed documents that are sealed with a tamper-evident cryptographic hash and accompanied by a Certificate of Completion and audit trail. Features, plans, and limits may change over time. We may add, modify, or discontinue features at our discretion, and will use reasonable efforts to notify you of material changes.
The Service is designed to facilitate electronic signatures under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). You are solely responsible for the content, legality, and enforceability of the documents you create, send, and sign using the Service. ToroDocs is a technology provider and does not provide legal advice. Certain documents and transactions are excluded from ESIGN/UETA or require specific formalities (for example, certain wills, trusts, family-law documents, court orders, or notices) — you are responsible for determining whether electronic signature is appropriate and lawful for your use. ToroDocs makes no representation that any particular document signed through the Service is legally valid or enforceable for your purposes.
You agree not to use the Service to: (a) violate any law or regulation; (b) send spam, phishing, fraudulent, or deceptive communications; (c) upload or transmit unlawful, infringing, defamatory, or malicious content, or malware; (d) impersonate any person or misrepresent your affiliation; (e) collect signatures or data through deception; (f) infringe the intellectual property or privacy rights of others; (g) attempt to gain unauthorized access to the Service or interfere with its operation; or (h) resell or provide the Service to third parties except as expressly permitted by your plan. We may suspend or terminate accounts that violate this section.
Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method the applicable fees, including any per-document overage charges beyond your plan's monthly document allowance. A "document" (envelope) is counted when it is sent for signature, regardless of the number of recipients. Fees are stated on our Pricing page and may change with notice; changes apply to subsequent billing periods. Except where required by law, payments are non-refundable, and you remain responsible for charges incurred before cancellation. You may cancel or, on eligible plans, pause your subscription at any time from your billing settings; cancellation takes effect at the end of the current billing period. Free-tier usage is subject to the stated monthly document cap.
You retain all rights to the documents and content you upload ("Your Content"). You grant ToroDocs a limited, non-exclusive license to host, process, transmit, display, and store Your Content solely to provide and improve the Service, including converting documents, rendering signature fields, delivering documents to recipients, and generating sealed copies and Certificates of Completion. You represent that you have the rights necessary to upload Your Content and to send it to your recipients.
The Service, including its software, design, and trademarks (including the "ToroDocs" name and logo), is owned by ToroDocs and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, revocable, non-transferable right to use the Service; no other rights are granted.
The Service relies on third-party providers, including Stripe (payments), Mailgun (email delivery), and DigitalOcean (hosting and storage). Your use of the Service may be subject to those providers' terms, and we are not responsible for their acts or omissions.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DOCUMENT SIGNED THROUGH THE SERVICE WILL BE LEGALLY VALID OR ENFORCEABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORODOCS AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify and hold harmless ToroDocs from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, Your Content, your documents, or your violation of these Terms or any law or third-party right.
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases; sections that by their nature should survive (including Sections 6–12 and 14) will survive.
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws rules. The exclusive venue for any dispute not subject to arbitration or small-claims court will be the state or federal courts located in Oklahoma County, Oklahoma, and you consent to their jurisdiction.
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app notice). Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
